Terms of Service

1. Agreement to Terms
These Terms of Service (“Terms”) form a legally binding agreement between you and iCodice LLC, doing business as SalonAiX (“SalonAiX”, “we”, “us”), governing your access to and use of the SalonAiX platform, websites, and related services (the “Service”). SalonAiX is a product brand of iCodice LLC; the legal entity you contract with under these Terms is iCodice LLC.
By creating an account, accessing the Service, or clicking “I agree”, you accept these Terms. If you don't agree, don't use the Service.
2. Eligibility
You must be at least 18 years old and authorized to bind the legal entity you sign up on behalf of (your “Salon” or “Tenant”). The Service is intended for businesses; consumer use is not supported.
3. Accounts
- You are responsible for keeping login credentials secure and for all activity under your account. Notify us at support@salonaix.com promptly of any suspected unauthorized access.
- You must provide accurate, current, and complete information during registration and keep it up to date.
- We may suspend or terminate accounts that violate these Terms or applicable law, or where doing so is necessary to protect the Service or other users.
4. Subscription, billing, and trials
- Subscriptions renew automatically each billing cycle until cancelled. You can cancel from your account settings; cancellation takes effect at the end of the then-current billing cycle.
- Free trials, where offered, convert to paid subscriptions at the end of the trial period unless you cancel beforehand.
- Fees are exclusive of taxes; you are responsible for any sales, use, VAT, or similar taxes that apply in your jurisdiction.
- We may change pricing on prospective renewals with at least 30 days' notice. Continued use after the change takes effect constitutes acceptance.
- Refunds are issued at our discretion, except where required by law (e.g. statutory cooling-off periods in the EU/UK).
5. Your data; data processing
You retain ownership of all data you (or your staff and clients) submit to the Service (“Customer Data”). You grant SalonAiX a limited license to host, copy, transmit, and display Customer Data solely as necessary to provide the Service.
With respect to personal information of your clients and staff, you act as the data controller and SalonAiX as a data processor. Our processor obligations are set out in our Privacy Policy and Data Processing Addendum. Where the GDPR applies, the DPA forms part of these Terms.
You represent that you have a valid legal basis to provide us with all Customer Data and that you will maintain all required notices and consents (e.g. SMS/email marketing opt-ins, 10DLC compliance for messaging campaigns).
6. Acceptable use
You agree not to:
- break the law in your use of the Service;
- send spam, malware, or otherwise unlawful messages;
- use the Service to harass, threaten, or harm any individual;
- circumvent rate limits, security mechanisms, or access controls;
- reverse-engineer, decompile, or attempt to derive source code (except where this restriction is prohibited by applicable law);
- resell or sublicense the Service except under our reseller program;
- use automated tools to scrape data beyond your own tenant's data via the public APIs we expose.
7. Third-party services
The Service may integrate with third-party services (for example, payment processing, SMS delivery, email delivery). Use of these is subject to the third party's own terms and privacy notice; we are not responsible for their actions.
8. Intellectual property
We own (or license) all rights in the SalonAiX Service, including the software, design, and brand. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes during your subscription. Nothing in these Terms transfers any IP rights to you, except as expressly stated.
If you submit feedback, suggestions, or feature ideas, you grant us a perpetual, royalty-free, worldwide license to use them without obligation to you.
9. Confidentiality
Each party may receive non-public information from the other (e.g. pricing, security controls). Each party agrees to protect such information with at least the same care it uses for its own confidential information, and to use it only for purposes of these Terms. This obligation survives termination for three years.
10. Service availability and changes
We aim for high availability but do not guarantee uninterrupted access. We may perform maintenance with reasonable notice. We may modify, suspend, or discontinue features at any time; if we discontinue a paid feature in a way that materially diminishes the Service, your remedy is to cancel and receive a pro-rata refund for the unused period.
11. Disclaimers
EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be error-free or uninterrupted, or that data will never be lost or corrupted, although we maintain reasonable backups.
Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under applicable consumer-protection law (including UK/EU consumer rights).
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EACH PARTY'S AGGREGATE LIABILITY FOR DIRECT DAMAGES UNDER THESE TERMS WILL NOT EXCEED THE FEES YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
13. Indemnification
You will indemnify and hold harmless SalonAiX, its affiliates, and personnel from third- party claims arising from (a) your Customer Data, (b) your use of the Service in violation of these Terms or applicable law, or (c) your messaging activity, including any 10DLC, TCPA, CAN-SPAM, or equivalent compliance obligations.
14. Termination
Either party may terminate these Terms at any time by ending the subscription. We may terminate immediately for material breach (including non-payment after 14 days' notice) or for legal compliance reasons. Upon termination we will retain your data for 30 days during which you can export it, then delete it (subject to retention obligations described in the Privacy Policy).
Sections that by their nature should survive termination — including IP, confidentiality, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive.
15. Governing law and disputes
These Terms are governed by the laws of {{TODO: e.g. State of Delaware, USA}}, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms will be resolved in the courts located in that jurisdiction.
EU/UK consumers: this clause does not deprive you of mandatory protections that you would have under the laws of your country of residence; you may also bring proceedings in your local courts to the extent your local law guarantees that right.
16. California-specific notices
For California residents, this Section is provided pursuant to California Civil Code §§ 1789.3, 1798.100 et seq., and CPRA. The Service is provided by iCodice LLC (d/b/a SalonAiX); you may contact our Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Sacramento, CA 95834, or by telephone at (800) 952-5210. 17. Changes to these Terms
We may update these Terms from time to time. We'll post the new effective date and, for material changes, notify you by email or in-product before they take effect. Continued use after the effective date is acceptance of the change; if you don't accept, your remedy is to stop using the Service and cancel your subscription.
18. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy, DPA, and any order forms, are the entire agreement between you and us regarding the Service.
- Severability. If any provision is held unenforceable, the remainder remains in effect.
- No waiver. Failure to enforce a provision is not a waiver.
- Assignment. You may not assign these Terms without our written consent. We may assign without restriction in connection with a merger, acquisition, or sale of assets.
- Notices. Notices to us must be sent to legal@salonaix.com. Notices to you may be sent by email to your account email or via in-product banner.
